Terms & Conditions
These Terms & Conditions govern use of the Anaya Fusion website and, where incorporated into a proposal or engagement, the general conditions applicable to our business advisory services. A signed proposal, statement of work, or other written agreement may contain additional or different terms; if there is a conflict, the signed engagement document controls for that engagement.
Services
Anaya Fusion provides general startup and business advisory, operational, documentation, and readiness support. Specific deliverables, timing, fees, and responsibilities are established in writing for each engagement.
No guaranteed third-party outcomes
We may assist clients with readiness for business bank accounts, payment processors, business platforms, or other third-party services. We do not control and do not guarantee approval, account opening, processing limits, funding availability, underwriting decisions, compliance determinations, or continued access to any third-party service.
Client responsibilities
You agree to provide accurate, complete, lawful, and current information; review deliverables before use; meet your own legal and regulatory obligations; and avoid using our services to misrepresent a business, ownership, address, transaction, product, or activity.
Fees and payment
Fees, retainers, milestones, payment schedules, and taxes are specified in the applicable proposal, invoice, or statement of work. Unless stated otherwise in writing, invoices are due according to the payment terms shown on the invoice.
Refunds and cancellation
Refunds and cancellations are governed by our Refund & Cancellation Policy and any engagement-specific written terms.
Intellectual property
Each party retains ownership of its pre-existing intellectual property. Upon full payment, client-specific final deliverables are licensed or assigned as described in the applicable engagement. Anaya Fusion retains its general know-how, methods, templates, and reusable tools unless expressly agreed otherwise.
Confidentiality
We will use reasonable care with non-public client information provided for an engagement. Confidentiality obligations may be further defined by a nondisclosure agreement or statement of work.
Acceptable use
You may not use this website or our services for unlawful, fraudulent, deceptive, infringing, abusive, or security-compromising activity. You may not attempt to gain unauthorized access to our systems or misrepresent our relationship with any bank, payment processor, government agency, or other third party.
Disclaimers
Except as expressly stated in a signed agreement, the website and general information are provided “as is” and for general informational purposes. See our Professional Disclaimer.
Limitation of liability
To the maximum extent permitted by applicable law, Anaya Fusion will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for losses caused by third-party platform decisions, service interruptions, or inaccurate information supplied by a client. Any contractual liability cap, if applicable, should be stated in the signed engagement agreement.
Governing law
Unless a signed engagement states otherwise, these website terms are governed by the laws of the Commonwealth of Massachusetts, without regard to conflict-of-law principles. Any mandatory rights under applicable law remain unaffected.
Changes
We may update these Terms & Conditions by posting a revised version with a new effective date. Material changes to an active signed engagement require agreement as provided in that engagement.
